Two Aesthetic Giants Join Forces - Solta Medical to Acquire Aesthera Corp

 

Two impressive product lines are becoming one as Solta Medical announces a deal to acquire Aesthera Corporation.

Solta Medical, Inc. (Nasdaq: SLTM), a manufacturer of medical aesthetic devices, recently announced that it has entered an agreement to acquire the Aesthera Corporation. Solta is best known for its Fraxel and Thermage technologies for laser skin resurfacing and skin tightening.

Solta will acquire Aesthera for $5.25 million in Solta common stock and cash, with potential additional base line milestones of $750,000 for a consideration of $6.0 million. Excluding acquisition and integration related charges, the transaction is expected to be accretive to Solta Medical's earnings within twelve months. There are additional terms to the agreement, and Solta Medical plans to close the agreement by the end of March of this year.

Aesthera manufactures the only FDA cleared laser or light devices for the treatment of inflammatory, comedonal, pustular, and mild-to-moderate inflammatory acne, the Isolaz(TM) and Isolaz Pro(TM) platforms. These systems are based on proprietary Photopneumatic technology. Isolaz treatments have an immediate visible impact on acne 24 - 48 hour post first treatment and are painless. Facial treatments take as little as 10 minutes, require no anesthetics or numbing creams, and provide additional cosmetic benefits such as smoother appearing skin.

The Isolaz device is also used for painless laser hair removal and skin rejuvenation. Permanent hair reduction with Isolaz takes a much smaller time investment as the treatments are fast, around 30 minutes, and more effective than previous technology so less return visits are needed.
